Yes... Im afraid upgrading to 3x will hurt page ranking somehow... I was told to maintain a 3 month period without changing any code what-so-ever on the forum. I really do like 3x much better, but I like my design in 2x...
decisions decisions..

Believe me, you want to upgrade. There are so many more benefits

It'll be worth losing your page ranking.

As christian said - it will be worth upgrading to phpBB3 as it's a lot more advanced than phpBB2.
