For starters, your VIP group colour is bright yellow. Your background is white. It's not hard to change, so do it! As for your banner, I don't like it either. I assume most people didn't explain why, but I'll do my best. The images aren't really a problem - the positioning is okay, but the way the text overlaps them is an issue. The text itself looks strange, with two words being in italics and one word not. The reflection is probably too clear - maybe make it a bit more transparent - and I don't get the white fuzz around the text. That's probably got to go.

The organisation is good enough, but 'The Forum' should be titled something more along the lines of 'Feedback / Suggestions', and maybe placed in the top category, along with Cash Exchanges. I personally think Cash Exchanges is something that won't be used much, so if it shows signs of being useless, trash it. Apart from that, good.

If you are promoting your site, then you shouldn't have it offline, if its a new forum. Visitors tend to leave if they see the forum offline, even if its an update.

The theme is okay. I dislike the color orange, but it's your theme and you choose the color orange. So the theme is okay, but I can't review with the forum being offline.
